1. Who we are

Clutch ("we", "us", "our") is operated by William Herbert, a sole trader based in Australia. Clutch is a writing assistant for university students at studywithclutch.com.

2. The service

Clutch helps students draft assignments, generate study notes, build flashcard decks, and plan their study schedule. Drafts and notes are generated by an AI model and are intended as starting points for your own work, not final submissions.

We may add, change, or remove features over time. We'll let you know about meaningful changes by email.

3. Academic integrity — your responsibility

Clutch is a writing assistant, not a homework service. You are solely responsible for ensuring that your use of Clutch complies with your educational institution's academic integrity policies.

Submitting AI-generated content — whether from Clutch or elsewhere — as your original work may violate those policies and result in academic penalties. Always:

4. AI output disclaimer

AI-generated content can be inaccurate, incomplete, biased, or otherwise inappropriate for your specific context. We provide no warranty that the output is accurate, complete, fit for any particular purpose (including academic submission), or free from infringement. Use of the output is entirely at your own risk.

We do not claim ownership of your input or the AI output generated from it — those are yours. However, you grant us a limited license to process them as needed to provide the service.

5. Acceptable use

You agree not to:

Pro is intended for individual student use, capped at the generation allowance for your plan (currently 200 credits / month — drafts cost 5 credits, notes 3, flashcards/planner/explain 1 each — with optional top-ups). Patterns of use that exceed reasonable individual study — including account sharing, automated access, or commercial use — may result in throttling or termination of your account without refund.

6. Subscription, billing, and refunds

Clutch Pro is billed monthly at A$12 or annually at A$99 (or local equivalent). Subscriptions renew automatically unless cancelled. You can cancel anytime in your account settings; access continues until the end of the current billing period.

We offer a no-questions refund within 7 days of your first paid charge. After that, payments are non-refundable except where required by Australian Consumer Law.

Credit top-ups (e.g. "buy 50 more for A$5") are one-time, non-refundable purchases.

7. Intellectual property

You own the content you input into Clutch and the AI output generated from it. We own the Clutch platform, brand, code, and infrastructure. Nothing in these terms transfers our IP to you, or yours to us, beyond the limited licences described here.

8. Limitation of liability

To the maximum extent permitted by Australian Consumer Law, our total liability for any claim arising from your use of Clutch is limited to the greater of (a) the amount you paid us in the 12 months immediately preceding the claim, or (b) A$100.

We're not liable for indirect, consequential, or special damages, including lost grades, missed deadlines, academic penalties, or lost data. Always keep your own backups and review AI output before relying on it.

9. Termination

You can stop using Clutch and cancel your subscription at any time. We may suspend or terminate your account if you breach these terms or use the service abusively. Upon termination, we retain your data for 30 days to allow you to export it, then delete it.

10. Governing law

These terms are governed by the laws of New South Wales, Australia. Any dispute will be handled in NSW courts, except where Australian Consumer Law gives you the right to choose.

11. Changes to these terms

We may update these terms from time to time. We'll email you for material changes. Your continued use of Clutch after changes take effect means you accept the updated terms.
